General Terms and Conditions of Sale applicable to distance sales
Effective date: October 30, 2025
Article 1 – Application of the Terms and Conditions
For the purposes of these General Terms and Conditions of Sale, the term “FlowUP” refers to the seller under these Terms and Conditions, namely GM ASSOCIATION SRL, whose registered office and operating headquarters are located at Rue du Château 95, 1470 Genappe, registered with the Crossroads Bank for Enterprises under company number 0715.399.546.
The buyer is defined below as the company or person signing and accepting these General Terms and Conditions of Sale. The information provided on the website, in price lists and in emails may be modified by FlowUP without prior notice, with such modifications applying to all subsequent orders.The mere fact that the buyer confirms on FlowUP’s website that they have read these General Terms and Conditions of Sale by clicking the corresponding checkbox constitutes full and unconditional acceptance of these General Terms and Conditions of Sale. These General Terms and Conditions of Sale may be modified at any time and without prior notice by FlowUP, with such modifications applying to all subsequent orders.
Article 2 – Orders
2.1 Product Description
The essential characteristics of the product are indicated on the website.
2.2 Product Availability
You are informed of the product’s availability directly on the website. Offers are valid while stocks last. However, in the event that the ordered product is unavailable, FlowUP may provide you with a product of equivalent quality and price. In this case, if you exercise your right of withdrawal, the return costs will be at your expense.You nevertheless retain the possibility of cancelling the sale and requesting a refund, which will be made within a maximum period of 45 days from the date on which the equipment is received by FlowUP. For products not stocked in our warehouses, our offers are valid subject to availability from our suppliers.
2.3 Steps to Conclude the Contract
When placing a first order online, each new customer must create a “Customer Account”, with a username, or “login”, and a password. Each time an order is validated, you will be redirected to your account via a secure connection showing the contents of your order. Your order will only be definitively registered after final validation. When you register the order, it is received by FlowUP via its mailbox, and the sale is deemed concluded once payment has been received on our account, confirming agreement on the goods and the price. Receipt of your order is confirmed by the sending of an email to the email address provided when creating the customer account. The contractual information is presented in French and will be confirmed, including this information, no later than at the time of delivery.
2.4 Order Cancellation
Orders placed on our website are automatically cancelled if no payment is received on our account.
Article 3 – Prices
The prices displayed on the website are indicated in euros, all taxes included, excluding delivery costs. They may vary, particularly in the event of fluctuations in the exchange rate of the currency against the euro.However, the prices shown on your order after validation and registration are firm and final: if prices decrease a few days after the order, we cannot under any circumstances compensate you for the difference. If prices increase, we undertake to deliver at the price set on the day of the order, except in the event of a stock shortage and therefore new procurement from our suppliers.
The amount of delivery costs is calculated automatically according to each order. It appears in the summary of your order before final registration.
Article 4 – Delivery and Transport
FlowUP has chosen UPS as its main delivery partner. For Belgium, FlowUP also offers Bpost. Delivery costs are minimal and depend on the weight of the parcel and the chosen shipping method, including insurance based on the actual value of the parcel being shipped.
4.1 Delivery Times
Delivery is made to the address you indicated when placing the order. FlowUP undertakes to deliver within a maximum period of 30 days from the day following receipt of your payment. FlowUP does not make partial deliveries.
4.2 Delivery Delay
In the event of a delivery delay, we advise you to check the status of your order directly online before contacting us, on the carrier’s website using the shipping number. We invite you to notify us in writing of any delay of 3 business days compared with the announced delivery time. By express agreement, in the event of force majeure or events such as lock-out, strike, total or partial work stoppage in FlowUP’s factory or at its suppliers, epidemic, war, requisition, fire, flood, interruption or delay in transport, legal or administrative measures preventing, restricting, delaying or prohibiting the manufacture or import of the goods, FlowUP is released from all liability regarding delivery. FlowUP will inform the buyer in due time of the cases and events listed above. In all cases, delivery within the stated timeframe can only take place if the buyer is up to date with all obligations towards FlowUP, whatever the cause.
4.3 Transport-Related Risks
FlowUP bears the risks related to transport until delivery, meaning until the goods are physically handed over to the recipient indicated at the time of the order, or to their representative who accepts them, provided that you check the goods upon receipt in the presence of the carrier and, if necessary, indicate any reservations in writing on the transport document, according to the procedure described below.
4.4 Receipt of Goods
Upon receipt of the goods, the buyer is asked to check the good condition of the parcel and the conformity of the delivered goods in the presence of the carrier. The buyer must note any reservations on the delivery note. The buyer must refuse delivery if the goods are damaged, missing, or if the parcel has been opened, repackaged or shows opened packaging seals. Goods accepted without reservations by the recipient at the time of delivery are deemed to have arrived in good condition, in conformity with the order and in full. This is without prejudice, however, to the continued benefit for the consumer buyer, in the case of a B2C sale, of the legal warranty regarding hidden defects provided for in Articles 1641 to 1649 of the Civil Code, or the legal obligation to deliver goods, digital content or a digital service in conformity with the contract, provided for in Articles 1649bis to 1649nonies and 1701/1 to 1701/19 of the former Civil Code. The buyer is required to report any issue upon receipt in writing, within 7 calendar days or within any longer mandatory period provided for under Belgian law in the case of a B2C sale, see Article 7.5 below, from the date of receipt, to FlowUP’s registered office or via the after-sales service tab available on our website. The website may use cookies in order to personalize and make the user’s browsing experience on this website as easy as possible. The user may configure their browser to be notified of, and to refuse, the installation of cookies that we send.
Article 5 – Complaints and After-Sales Service
For any complaint, we invite you to contact our services via the after-sales service tab. All complaints relating to a defect in the delivered goods, an inaccuracy in the quantities, or an incorrect reference compared with the accepted offer or FlowUP’s order confirmation, must be submitted to FlowUP by registered mail within 7 calendar days from receipt of the goods, without prejudice, however, to the consumer buyer’s benefit of any longer mandatory period provided for under Belgian law in the case of a B2C sale, see Article 7.5 below. service après-vente
5.1 Requirement for a Return Number
Goods may only be returned by post, unless otherwise specified. Any return of goods requires FlowUP’s prior approval, such prior approval not being required in the case of a B2C sale, and a return number, both of which can be obtained free of charge via the After-Sales Service tab on our website.
Once the return procedure has been accepted by FlowUP, which does not apply in the case of a B2C sale, each product must be sent in its original transport packaging or any other packaging ensuring proper transport, with its own return label.
In the absence of return approval, which does not apply in the case of a B2C sale, the goods will be returned to you or held at your disposal, at your expense, risk and responsibility, with all transport, storage and handling costs being borne by you.
Products are returned at your expense and at your own risk. We therefore advise you to declare the value of the goods and take out transport insurance.
After obtaining return approval, the buyer has a period of 14 business days to return the defective goods to FlowUP, without prejudice, however, to the consumer buyer’s benefit of any longer mandatory period provided for under Belgian law in the case of a B2C sale, see Article 7.5 below.
The following information is generally requested: precise contact details, designation of the item or items concerned, serial number, the observed fault, and the invoice number corresponding to the described parts.
The goods must be returned with a copy of the invoice and the return number displayed on the parcel within a maximum period of 14 business days after FlowUP’s return approval, which does not apply in the case of a B2C sale, to the following address:

5.2 Return Packaging
Any defective product must be returned in its original packaging or any other packaging ensuring proper transport, so as to guarantee that the product is transported under good conditions, with the warranty labels. Any package must include the entire product and its accessories and must be clearly accompanied by the return number. Any incomplete product will not be accepted, exchanged or refunded. Sealed computer software may only be returned in its original packaging, on the express condition that it has not been unsealed after delivery.
5.3 Refund
Any refund request may only be processed after the returned products have arrived at FlowUP in accordance with the return procedure indicated above. In the event of a return and refund request, the terms will be as follows: • Parcel returned at the customer’s request: refund of the product, return costs borne by the customer. • Parcel returned due to the company’s responsibility, such as non-conformity or parcel not received: refund of the product and shipping costs.
Article 6 – Right of Withdrawal Reserved for Consumer Buyers
In the context of a distance sale, the consumer buyer, B2C sale, has the right to notify FlowUP that they are withdrawing from the purchase, except in the case of sealed computer software that has been unsealed after delivery. The consumer buyer must do so within 14 calendar days from the day following the delivery of the goods. Any return request made outside this period cannot be accepted. The consumer buyer must return the goods in their original condition and in the packaging conditions provided for in Article 5.2 above. The goods must be accompanied by a copy of the purchase invoice. In the case of products manufactured according to the consumer’s specifications, products that have become unsuitable for resale due to the consumer, or products that have been used by the consumer, it is no longer possible to withdraw from the purchase. Goods that can no longer be resold as new due to the specific nature of the product cannot benefit from the right of withdrawal. The same applies to goods that are likely to deteriorate quickly. Any return must have been notified in advance to FlowUP, which will provide you with a mandatory return reference to ensure proper identification of your parcel. The return of goods is carried out at the buyer’s expense, risk and responsibility. FlowUP reserves the right to check the condition of the returned goods within 2 weeks following the date of receipt. FlowUP has 14 days from the day on which it is informed of the consumer’s decision to withdraw from the contract to refund the purchase, without prejudice to the fact that FlowUP may defer the refund until the goods have been recovered, on the basis of Article 5.3 above. Return costs remain payable by the customer. Professional buyers, B2B sale, do not have this right of withdrawal.
6.1 Exception to the Right of Withdrawal
The exercise of the right of withdrawal is excluded for the following contracts:
- Contracts for the supply of goods made to the consumer’s specifications or clearly personalized, including but not limited to: customized gaming PCs, professional PCs and custom watercooling systems.
- Any other contract that may be concluded between the parties, B2C, and that would constitute a legal exception to the right of withdrawal under Belgian law, which FlowUP would be entitled to invoke.
6.2 Withdrawal Form
FlowUP provides the consumer buyer, B2C sale, with the form expressly provided for by law, available as a downloadable withdrawal form or printable form, see below. The consumer buyer, B2C sale, cannot, however, be required to use it.

Article 7 – Warranty and Liability
7.1 MANUFACTURER'S WARRANTY.
For products covered by a specific manufacturer’s warranty (warranty coverage provided directly by the manufacturer, on-site warranty, or specific warranty extension), the customer must contact the manufacturer directly, without going through FlowUP, which provides no contractual warranty regarding these products; however, this does not affect the consumer’s right, in the case of a B2C sale, to the statutory warranty against hidden defects provided for in Articles 1641 through 1649 of the Civil Code, or the legal obligation to deliver goods, digital content, or a digital service in conformity with the contract, as provided for in Articles 1649bis to 1649nonies and 1701/1 to 1701/19 of the former Civil Code. FlowUP will refuse any return of goods under these circumstances and cannot be held liable for any failure on the part of the manufacturer under this warranty. 7.2 LIABILITY (APPLICABLE ONLY OUTSIDE THE CONTEXT OF B2C SALES).
FlowUP assumes liability as further detailed in these Terms and Conditions of Sale for a maximum period of 11 months, unless otherwise specified. Software, video games, books, consumables, cartridges, and data storage media (CDs, DVDs, etc.) are not covered by FlowUP’s liability. Batteries, LCD monitors, and laptop screens are covered by FlowUP’s warranty within the limits of the manufacturer’s warranty period. Pixel defects on TFT screens constitute manufacturing defects only if they deviate from the specifications and tolerances announced by the manufacturer.
7.3 LIMITATION OF LIABILITY (APPLICABLE ONLY OUTSIDE THE CONTEXT OF B2C SALES).
FlowUP’s liability is limited to the repair, replacement, or refund of the value of goods deemed defective by FlowUP, taking into account the use to which they have been put, at FlowUP’s sole discretion. FlowUP undertakes only to replace defective parts. FlowUP’s liability therefore does not cover labor costs, nor those resulting from disassembly, reassembly, and transportation. FlowUP’s liability does not apply if the serial numbers are damaged, moved, or removed. If the returned equipment is not defective, a testing fee calculated at an hourly rate of €48.40 (including tax) will be billed to the customer, with a minimum charge of €15 (including tax).
7.4 EXCLUSION (APPLICABLE ONLY OUTSIDE OF ANY B2C SALES).
FlowUP shall not be held liable for: damage caused by external factors; damage resulting from improper use of the products; or damage resulting from repairs performed by a technician not authorized by FlowUP or the manufacturer. FlowUP shall in no event be held liable for the loss or corruption of data or programs stored on hardware or media (floppy disks, hard drives, etc.) returned for technical service, whether the products are under warranty or not. FlowUP undertakes only to replace defective parts. FlowUP cannot be held liable for compatibility issues with the computer parts it supplies. If the hardware cannot be replaced with identical hardware, the customer will be offered equivalent or superior hardware. In the event of the manufacturer’s bankruptcy or inability to supply, the customer may not hold FlowUP liable, as FlowUP assumes no liability regarding the manufacturer’s products.
7.5 B2C Sales.
The consumer buyer is entitled to the statutory warranty against hidden defects, as provided for in Articles 1641 through 1649 of the Civil Code, or the legal obligation to deliver goods, digital content, or a digital service in conformity with the contract, as provided for in Articles 1649bis through 1649nonies and 1701/1 through 1701/19 of the former Civil Code. The consumer buyer is required to notify FlowUP by certified letter of the existence of the latent defect or lack of conformity within two months from the date on which the buyer discovered the defect or lack of conformity. Failure to comply with this notification period will result in the buyer forfeiting all rights against FlowUP.
Article 8 – Retention of Ownership
The goods delivered to you and invoiced will remain the property of FlowUP until full payment has been received. Failure to pay may result in FlowUP reclaiming the goods; in such cases, the goods must be returned immediately and will be shipped at your expense and risk.
Article 9 – Payment
9.1 PAYMENT METHODS.
Payments must be made in such a way that FlowUP receives the funds on the date the invoice is issued. Unless otherwise specified on the website, payment must be made in advance by bank transfer.
9.2 LATE PAYMENT.
In the absence of timely payment, late payment interest shall be due without prior notice, at a rate of 10% per annum, as well as a lump-sum penalty of 15% of the principal or the outstanding balance (said penalty shall be considered reciprocal in favor of the consumer buyer in the case of B2C sales). In the event of legal action, FlowUP is entitled to claim reimbursement from the buyer for all costs related to the legal proceedings, within the applicable legal limits.
9.3 PAYMENT IN INSTALLMENTS WITH ALMA.
Installment/deferred payment is available through our partner Alma. Payment security is ensured by Alma and its service providers. All payments are protected by 3D Secure. Purchase amount:
P2X: Only purchases between €50 and €4,000 are eligible for payment via Alma.
P3X: Only purchases between €50 and €4,000 are eligible for payment via Alma.
P4X: A Belgian law has gone into effect prohibiting payment plans longer than 60 days; as a result, we can no longer offer payment plans with more than three monthly installments.
Fees: Alma is a payment processor and issues an electronic receipt that serves as proof of the transaction amount and date in accordance with applicable legal provisions. Termination: Any termination of the General Terms and Conditions of Sale between FlowUP and the customer shall result in the termination of the General Terms and Conditions of Use between Alma and the customer.
Article 10 – Applicable Law and Jurisdiction
Any dispute concerning the validity, interpretation, or performance of the contract governed by these general terms and conditions of sale shall be settled in accordance with Belgian law, and the courts of the location of FlowUP’s registered office shall have exclusive jurisdiction.
